TERMS AND CONDITIONS FOR DISTRIBUTORS / ASSOCIATES

These Terms and Conditions ("Terms") govern registration, product purchases, marketing activities, compensation payouts, and participation as an independent Distributor / Associate ("Distributor") of DZIRE Multinational Private Limited ("DMPL" or "the Company"). By registering as a Distributor, clicking to accept these Terms online, or purchasing any product for distribution/resale, you agree to be legally bound by these Terms.

1. Scope & Acceptance

These Terms constitute a binding legal agreement between the Distributor and DMPL. The Distributor acknowledges having read, understood, and agreed to these Terms, along with the Company’s Privacy Policy, Compensation Plan, Code of Conduct, and Return Policy, as published on www.dziremultinational.com and updated from time to time.

2. Registration & Eligibility

• Registration as a DMPL Distributor is free. Applicants must be Indian citizens aged 18 years or older, legally competent to enter into contracts.
• Submission of valid Know Your Customer (KYC) documents — including PAN card, Aadhaar card/identity proof, address proof, and active bank account details — is mandatory for account verification and payout processing.
• Distributor status is non-transferable except in accordance with the Company’s nominee policy upon the death or legal incapacity of a Distributor.

3. Business Volume (BV) & Point Value (PV) System

• Every product listed on the DMPL platform carries assigned Business Volume (BV) and Point Value (PV) metrics.
• As a general rule, 750 BV is equal to 1 PV. Product BV typically averages ~50% of the Maximum Retail Price (MRP), subject to product category and promotional adjustments.
• An Associate ID is activated upon the purchase of products carrying cumulative 1 PV (750 BV).

4. Compensation Plan & Income Streams

Independent Distributors are eligible to participate in the Company’s multi-stream compensation plan based on retail sales and team performance:

• 4.1 Retail Profit: Earned on purchasing products at Distributor Price (DP) and retailing at MRP.
• 4.2 Binary Matching Income: Paid on matched PV volume between Left and Right teams at ₹200/- per matched PV pair. Matching income is capped at ₹1,500/- per session (2 sessions per day = max ₹3,000/- daily). Unmatched volume on the stronger leg carries forward. Requires sponsoring 2 direct referrals (1 Left and 1 Right).
• 4.3 Sponsor Income: Level 1: 20% bonus on the daily Matching Income of direct-sponsored Distributors. Level 2: 5% bonus on the earnings of second-level team members. No capping limit applies.
• 4.4 Fast Track Bonus: ₹3,000/- bonus for sponsoring 2 direct members (1 Left & 1 Right) within 15 days of registration.
• 4.5 Community Support Pool: 2% of total Company weekly turnover and 2% of weekly payout pool allocated for Community Support. "Icon Achiever" status requires 10 pair matches within 30 days.
• 4.6 Rank & Reward Bonus: Non-monetary and cash rewards ranging from Star (25 PV match - ₹500) up to President (50 Lac PV match - ₹5 Lac/month salary) based on cumulative PV matches.
• 4.7 Bonanzas & Promotional Rewards: Subject to periodic promotional criteria.
• 4.8 Distributor Consistency Benefit: Free products worth ₹1,500/- after maintaining ₹1,500/- monthly purchases for 3 consecutive months.
• 4.9 Franchise Income: District/Area Franchise distributorships offered under separate agreements.

5. Payout Rules & Deductions

• Minimum Payout Threshold: ₹300/- minimum accumulated balance in the income wallet is required before a payout is processed.
• Deductions: 5% Admin Charge and 1% TDS (Tax Deducted at Source under Income Tax Act, 1961) will be deducted from gross earnings before payout.
• Payouts are transferred electronically into the Distributor's registered bank account. Form 16A TDS certificates will be issued as required by law.

6. Code of Conduct & Legal Compliance

• Distributors shall not make false, exaggerated, or misleading claims regarding products, earning potential, or company status.
• Distributors shall not represent DMPL as an investment scheme or guaranteed-income opportunity.
• All recruitment and sales activities must strictly comply with the Consumer Protection (Direct Selling) Rules, 2021 and the Prize Chits and Money Circulation Schemes (Banning) Act, 1978.

7. Cancellation, Returns & Buyback Policy

• Unopened, resalable products in original packaging may be returned within the designated return window for a refund minus credited BV/PV adjustments.
• Resigning Distributors may apply for inventory buyback of unsold, marketable stock in accordance with Direct Selling Rules, 2021.

8. Termination & Suspension

The Company reserves the right to suspend or terminate a Distributor ID for breach of these Terms, false KYC submission, duplicate IDs, or illegal activity after providing reasonable notice.

9. Disclaimer & Limitation of Liability

Participation in the compensation plan does not guarantee income. Actual earnings depend on individual effort, genuine product sales, and team execution.

10. Grievance Redressal

Grievances regarding registration, orders, or payouts may be directed to the Grievance Officer at support@dziremultinational.com in compliance with the Consumer Protection (Direct Selling) Rules, 2021.

11. Amendment of Terms

The Company reserves the right to amend these Terms or the compensation plan at any time. Notice will be published on www.dziremultinational.com.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts at Asansol / Paschim Bardhaman, West Bengal.
